Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and Kirin Solutions LLC, a California limited liability company ("Company," "we," "us," "our"), governing your access to and use of the SKUit platform and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

If you use the Service on behalf of a company, organization, or other legal entity ("Organization"), you represent that you have authority to bind that Organization to these Terms. In that case, "you" and "your" refer to both you individually and the Organization.

1. Description of the Service

SKUit is a software-as-a-service platform designed to assist networking professionals in generating draft Bills of Materials (BOMs) for networking equipment.

The Service may include:

• AI-assisted configuration guidance
• Product compatibility suggestions
• BOM generation tools
• Project organization tools
• Export functionality (including spreadsheets)
• Additional features introduced by the Company over time

The Service may rely on third-party data sources and artificial intelligence systems.

The Company is not a reseller, distributor, or representative of any equipment vendor. Vendor names, trademarks, and SKU identifiers remain the property of their respective owners and are used solely for identification purposes.

2. Accounts and Organizational Use

To use certain features you must create an account. Accounts may be created by individual users or authorized representatives of an Organization.

If an account is created for an Organization:

• The Organization is responsible for all activities conducted under its accounts
• Administrators may manage access for additional users within that Organization
• The Organization must ensure its users comply with these Terms

You agree to:

• Provide accurate registration information
• Maintain the security of account credentials
• Notify us promptly of unauthorized account use

You must be at least 18 years old to create an account. Organizations are responsible for managing their internal users and access permissions.

3. Acceptable Use

You agree to use the Service only for lawful business purposes. You may not:

• Access the Service using automated systems that generate excessive requests
• Attempt to reverse engineer or extract the source code of the Service
• Use the Service to build a competing product
• Interfere with the integrity or performance of the Service
• Bypass security features
• Impersonate another individual or organization

The Company may suspend or terminate accounts that violate these Terms.

4. User Content

You retain ownership of the data you submit to the Service ("User Content"). If the Service is used on behalf of an Organization, User Content may belong to that Organization.

By using the Service you grant the Company a limited, non-exclusive, worldwide license to process, store, and display User Content solely for purposes of providing, maintaining, securing, and improving the Service.

The Company may also use aggregated or anonymized data derived from Service usage for analytics and product improvement.

5. AI-Generated Outputs and BOM Disclaimer

5.1 Nature of Outputs

The Service provides AI-assisted recommendations designed to help generate draft Bills of Materials. Outputs are generated using artificial intelligence systems, vendor documentation, compatibility rules, and publicly available product data.

The Service is intended as a planning and recommendation tool, not a definitive specification system.

5.2 Possible Errors or Omissions

Outputs generated by the Service may contain:

• Incorrect SKU numbers
• Incompatible modules
• Outdated vendor information
• Missing components
• Incorrect licensing requirements

Networking vendor product catalogs, SKUs, compatibility matrices, and licensing structures frequently change. The Company does not guarantee that the Service reflects the most current vendor information.

5.3 User Verification Requirement

You are solely responsible for verifying all BOM outputs before relying on them for:

• Procurement
• Quoting
• System deployment
• Production use

You should validate outputs against official vendor documentation or authorized resellers before making purchasing decisions.

5.4 No Professional Advice

The Service does not constitute:

• Engineering advice
• Procurement advice
• Network architecture consulting
• Vendor certification guidance

Kirin Solutions LLC is not a licensed engineering firm or systems integrator.

5.5 No Warranty of Accuracy

All outputs generated by the Service are provided "as-is" for informational purposes only. The Company makes no warranties regarding the accuracy, completeness, reliability, or timeliness of any BOM, SKU information, compatibility guidance, or recommendation generated by the Service.

5.6 Procurement Responsibility

All procurement, purchasing, or deployment decisions based on Service outputs are your sole responsibility. The Company shall not be liable for:

• Procurement errors
• Incorrect hardware ordering
• Compatibility issues
• Vendor licensing discrepancies
• Deployment failures
• Business losses arising from reliance on Service outputs

6. Payments and Subscriptions

Some features of the Service may require payment. Payments are processed through third-party payment processors. By subscribing to a paid plan you authorize the Company and its payment processor to charge your payment method for applicable subscription fees.

Subscriptions may automatically renew unless canceled prior to the renewal date.

Billing and Refunds

All subscription fees are billed in advance for the applicable billing period and are non-refundable except where required by applicable law. You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period.

The Company does not provide refunds or credits for partial billing periods, unused subscriptions, or changes to subscription plans. You are responsible for canceling your subscription before renewal to avoid future charges.

The Company may modify pricing with reasonable notice.

7. Privacy

Use of the Service is also governed by our Privacy Policy, which describes how we collect and use personal information.

8. Third-Party Services

The Service relies on third-party providers including cloud hosting providers, payment processors, artificial intelligence infrastructure providers, and analytics services. These providers process data on our behalf in order to operate the Service.

The Company is not responsible for failures or outages caused by third-party services.

9. Termination

You may stop using the Service at any time.

The Company may suspend or terminate access to the Service if you violate these Terms, your use poses security risks, or it is necessary to protect the Service or other users.

Certain sections of these Terms survive termination.

You agree to indemnify and hold harmless Kirin Solutions LLC from claims arising from your use of the Service, your violation of these Terms, or your reliance on Service outputs.

You agree to comply with all applicable export control laws including United States export regulations.

14. Governing Law and Venue

These Terms and any dispute arising from the Service shall be governed by the laws of the State of California, United States, without regard to conflict of law principles.

Subject to the arbitration provisions below, any legal action relating to these Terms shall be brought exclusively in the state or federal courts located within California.

The Service is controlled and operated from the United States. The Company does not represent that the Service is appropriate or available in other jurisdictions.

15. Dispute Resolution

Before filing any claim, you agree to attempt to resolve the dispute informally by contacting legal@skuit.ai.

If the dispute cannot be resolved within 30 days, it shall be resolved through binding arbitration administered by the American Arbitration Association.

Both parties waive the right to participate in class actions or representative proceedings.

16. No Personal Liability

Claims relating to the Service must be brought solely against Kirin Solutions LLC.

No director, officer, member, employee, contractor, or agent of the Company shall have personal liability arising from the Service.

17. Modifications

The Company may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance.

18. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. These Terms together with the Privacy Policy constitute the entire agreement between you and the Company regarding the Service.
